By accessing or using the InnovTeams website (the "Site"), you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Site. If you enter a master services agreement, statement of work, or other contract with InnovTeams, that contract controls for the services it covers if it conflicts with these Terms.

1. Who we are

InnovTeams provides introductions and coordination related to pre-vetted technical and digital talent, as well as consulting and delivery services as described on the Site and in separate agreements.

2. Use of the Site

You may use the Site only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the Site. You agree not to:

• Attempt to gain unauthorized access to our systems, accounts, or data;
• Use automated means to scrape, harvest, or overload the Site without our written consent;
• Introduce malware, disrupt the Site, or probe for vulnerabilities except as part of an authorized bug-bounty or security program we approve in writing;
• Misrepresent your identity or affiliation, or submit false or misleading information.

3. Intellectual property

The Site, including text, graphics, logos, layout, and software, is owned by InnovTeams or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Site without our prior written permission, except as allowed by applicable law or for temporary caching by your browser.

4. No guarantee of placement or outcome

Content on the Site (including descriptions of talent pools, timelines, and success rates) is for general information. We do not guarantee that any candidate will be available, that a match will occur within a stated timeframe, or any specific business outcome. Final deliverables, fees, and responsibilities for paid engagements are defined in separate agreements.

5. Third-party links and tools

The Site may link to third-party sites or embed tools (such as scheduling widgets). Those services are governed by their own terms and privacy policies. InnovTeams is not responsible for third-party content or practices.

6. Disclaimer of warranties

The Site is provided "as is" and "as available." To the fullest extent permitted by law, InnovTeams disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the fullest extent permitted by law, InnovTeams and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Site or inability to use the Site.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms shall not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the amount you paid InnovTeams solely for access to the Site in the twelve (12) months before the claim (if any such fee existed). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

8. Indemnity

You agree to defend, indemnify, and hold harmless InnovTeams and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, violation of these Terms, or infringement of any third-party right by content or information you provide.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference.

10. Changes

We may modify these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Continued use of the Site after changes constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.

11. Governing law and disputes

These Terms are governed by applicable law, without regard to conflict-of-law principles that would require applying another jurisdiction's laws, except where superseded by a signed agreement between you and InnovTeams. Any dispute arising from these Terms or the Site shall be resolved in the courts or forums specified in your services agreement with us, or if none applies, in a forum mutually agreed in good faith after written notice of the dispute.
